TENNESSEE SOCCER CONSTITUTION
TENNESSEE SOCCER CONSTITUTION
Adopted August 15, 1987
Revised December 13, 1999
I. NAME
This organization shall be known as Tennessee Soccer, a nonprofit public educational organization, incorporated under the laws of the State of Tennessee , hereafter referred to as TS or the Association.
II. PURPOSE
To promote the sport of soccer for the enjoyment of players of all ages, as well as parents and spectators, by creating and increasing opportunities for wholesome participation.
III. AFFILIATION
TS shall be a member of, and comply with the authority of, the United States Soccer Federation (USSF).
IV. GOVERNANCE
TS shall be governed by its Charter, Constitution, Bylaws, Policies, and Procedures except when these provisions are superseded by the governing authority of USSF.
V. MEMBERSHIP
Members of TS shall be member organizations and individuals interested in advancing soccer within the State of Tennessee .
VI. MEETINGS
TS shall hold general membership meetings at least annually.
VII. LEGAL and TAX EXEMPT STATUS
A. The purposes for which the organization is organized are exclusively educational within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1954 or the corresponding provision of any future United States Internal Revenue Law.
B. Notwithstanding any other provision of these articles, this organization shall not carry on any other activities not permitted to be carried on by an organization exempt from Federal Income Tax under Section 501(c)(3) of the Internal Revenue Code of 1954 or the corresponding provisions of any future United States Internal Revenue Law.
C. In the event of dissolution, the residual assets of the organization will be turned over to one or more organizations which themselves are exempt as organizations described in Sections 501(c)(3) and 170(c)(2) of the Internal Revenue Code of 1954 or corresponding sections of any prior or future Internal Revenue Code, or to the Federal, State or local government for exclusive public purposes.
VIII. AMENDMENTS
Amendments to this Constitution must be approved by twoÂthirds of the voting members at a general membership meeting.
